General information; not an offer

This website provides general information about Royal Equity and may be used in connection with general solicitation under Rule 506(c). The website is not itself an offer to sell, and no offer to purchase a security may be accepted through this website. Any offering by Royal Equity Fund, LLC is made only through the then-current Private Placement Memorandum, Subscription Agreement, Operating Agreement, applicable Individual Investment Terms Memo, and other definitive documents. Those documents control over every website summary.

Private offering and investor eligibility

The current PPM describes an offering intended to rely on Rule 506(c) of Regulation D and the Fund's reliance on Section 3(c)(1) of the Investment Company Act. Under that description, purchasers must be verified as accredited investors and the Fund is generally limited to no more than 100 beneficial owners. The stated initial minimum is generally $25,000, although the Manager may accept less, and additional contributions generally begin at $1,000. Every subscription and contribution remains subject to Manager consent and acceptance.

Fund securities have not been registered under the Securities Act of 1933 or applicable state securities laws. Neither the U.S. Securities and Exchange Commission nor any state securities regulator has approved or disapproved the securities, passed on the merits of an investment, or passed on the accuracy or completeness of any offering document.

Opportunity-specific terms

Investors may select available Investments or provide written allocation instructions as described in the current PPM. Each Investment can have different assets, borrowers or sponsors, collateral, lien positions, rates or return objectives, duration, fees, risks, valuation methods, cash-flow profile, and liquidity. An investor should review the applicable Individual Investment Terms Memo and all definitive documents before authorizing an allocation. Unallocated capital may remain in cash and generally does not earn interest unless placed into a qualifying Investment.

Restricted securities and limited liquidity

Fund interests are restricted securities, are not publicly traded, and have no established secondary market. Transfers require compliance with the governing documents and generally require Manager consent. The current PPM generally describes withdrawals as available only after 12 months and subject to available cash, notice requirements, charges, reserves, a possible 10% net-asset-value gate, delay or suspension, other Manager determinations, and possible payment in kind. Capital allocated to an Investment generally cannot be withdrawn until that Investment exits or is liquidated. Investors must be able to bear an investment for an indefinite period and the possible loss of their entire investment.

Investment and real estate risks

All investments involve substantial risk, including possible loss of principal or the entire investment. Depending on the opportunity, material risks may include borrower, sponsor, platform, servicer, and counterparty default; foreclosure or enforcement delay; property-value decline; title, lien, environmental, construction, leasing, and operating risk; interest-rate, extension, prepayment, reinvestment, concentration, market, and economic risk; leverage; lack of diversification; broad Manager discretion; technology and cybersecurity events; and changes in law, regulation, or taxation.

References to collateral or real estate do not mean that Fund interests themselves are secured by real estate, that every Investment will be secured, or that collateral will be sufficient to prevent a loss. The Fund's current PPM authorizes a broader range of investments than real estate-secured loans.

Valuations, reports, and portal information

Private investments may not have readily available market quotations. Values may be based on original principal or cost, appraisals, audited information, third-party information, or good-faith estimates under the governing documents, and may not reflect a price obtainable in an actual sale. Portal information, account activity, transaction tracking, and periodic reports are not promises of real-time market value, liquidity, or performance. Reporting can be delayed, revised, unaudited, or subject to investment-specific limitations.

Fees, expenses, taxes, and distributions

Fees and expenses can vary by Investment and reduce returns. Prospective investors should review the definitive documents for management, administrative, servicing, transaction, performance, organizational, professional, and other fees or expenses that may apply. Distributions are not guaranteed and may be retained for expenses, reserves, obligations, or reinvestment as permitted by the governing documents. Taxable income may be allocated without a corresponding cash distribution, and delivery of Schedule K-1 information may be delayed.

Management discretion and conflicts

The Manager has broad authority over the Fund and its Investments. Actual or potential conflicts may arise from affiliated entities, other activities, allocation of opportunities, compensation, transactions with related parties, side arrangements, valuation decisions, and the Manager's responsibilities to other investments or businesses. Investors have limited voting and management rights. The definitive documents contain more complete conflict disclosures.
